Terms of Service — Vizually.AI

1. Acceptance of Terms

By accessing or using Vizually.AI ("the Service"), operated by Vizually.AI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all visitors, users, and subscribers.

2. Service Description

Vizually.AI is a visual project management and business architecture platform that provides an infinite canvas workspace with AI-powered features. The Service includes project management tools, AI Copilot capabilities, collaboration features, templates, and analytics. We offer Free, Professional, and Enterprise subscription plans. Features and pricing may change with reasonable notice.

3. Account Registration

To use most features, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at support@vizually.ai if you suspect unauthorized access. You must be at least 16 years old to create an account.

4. Subscriptions & Payments

Free Plan: Provides limited access to the Service at no cost. We reserve the right to modify Free plan features at any time.

Paid Plans: Professional and Enterprise plans are billed monthly or annually. Annual billing provides a discounted rate (pay for 10 months, get 12). All fees are in U.S. dollars and are non-refundable except as required by law or at our sole discretion.

Renewals: Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time before the next renewal date. Cancellation takes effect at the end of the current billing period — no partial refunds are provided.

Price Changes: We may change pricing with 30 days' written notice. Continued use after a price change constitutes acceptance.

5. Your Content

You retain full ownership of all content you create on Vizually.AI, including projects, canvases, cards, and other materials ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, display, and transmit Your Content solely as necessary to provide and improve the Service. This license terminates when you delete Your Content or your account.

6. AI Features & Generated Content

The Service includes AI-powered features that use third-party large language models (via Together.AI) to generate suggestions, cards, analyses, and other outputs. You acknowledge that:

AI-generated content is provided "as-is" and may contain errors or inaccuracies
You are solely responsible for reviewing and validating AI outputs before relying on them
Canvas context and prompts are sent to third-party AI providers for processing
We do not use Your Content to train AI models
AI features may be subject to rate limits and availability

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law
Upload, store, or transmit content that is illegal, harmful, threatening, abusive, defamatory, or infringes on intellectual property rights
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Interfere with or disrupt the Service or servers/networks connected to the Service
Use automated scripts, bots, or scrapers to access the Service beyond normal usage
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute the Service without written permission
Circumvent usage limits, rate limits, or access restrictions

8. Intellectual Property

The Service — including its design, code, branding, logos, documentation, templates, and all related intellectual property — is owned by Vizually.AI and protected by U.S. and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

9. Service Availability & Modifications

We strive for high availability but do not guarantee uninterrupted or error-free access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIZUALLY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your specific requirements, that AI outputs will be accurate, or that defects will be corrected.

12. Indemnification

You agree to indemnify and hold harmless Vizually.AI, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may close your account at any time by contacting support@vizually.ai. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or upon 30 days' notice for any reason. Upon termination, your right to use the Service ceases immediately. Your data will be handled in accordance with our Privacy Policy.

14. Governing Law & Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered under the rules of the American Arbitration Association. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service.
